Sec. 2-150.21. - The Rock Manor Golf Course Corporation; authorized; purpose.
There is hereby authorized a nonprofit entity to be known as "The Rock Manor Golf Course Corporation" (hereinafter "Rock Manor") for the purposes of assisting the city, through its department of parks and recreation, in the administration of the golf course operations and maintenance of he Rock Manor Golf Course and the Ed Oliver Golf Course owned by the city.

Sec. 2-150.22. - Incorporation and corporate charter.
(a)
To the ends specified in 2-150.21, the city solicitor is hereby authorized to incorporate a nonprofit corporation. The corporation is to be incorporated with all corporate powers permitted by the state.
(b)
The Rock Manor corporate charter shall provide that the board of directors of the corporation shall consist of ten members, four members being appointed by the mayor and three members being appointed by the president of city council, and three members to serve by virtue of their offices with the city, as follows: the city treasurer, the director of the department of parks and recreation, and the commissioner of the department of public works, all to serve at the pleasure of the appointing authority. One of the members appointed by the mayor shall be designated by the mayor to serve as the president of the board, at the pleasure of the mayor. The corporation shall be formed for the purpose of administering and enforcing the requirements of operation and maintenance of the municipal golf course known as Rock Manor owned by the city. The corporation may enter into an agreement with an operator of such a facility to carry out the day-to-day operations and maintenance of such facility.

The members of the corporation shall be appointed by the mayor and president of council, or serve ex officio, as aforesaid. The officers of the corporation shall be a president, vice president, secretary, and treasurer. A majority of the members of the board shall constitute a quorum for decision-making. The city treasurer shall be a voting member and shall serve as the corporation's treasurer. The director of the city's department of parks and recreation shall be a voting member and shall serve as the corporation's secretary. The commissioner of the city's department of public works shall be a non-voting member.
(d)
In the event of dissolution of the corporation, the assets of said corporation shall be transferred to the city.

The city solicitor, in incorporating the corporation, shall be authorized to take all necessary actions commensurate therewith.

Sec. 2-150.23. - Annual report.
The Rock Manor Golf Course Corporation shall file a written report of its activities to the mayor, the council president and all members of council, the city treasurer, the director of parks and recreation, and the city solicitor not less than annually.
