DIVISION 16. - WILMINGTONCARES CORPORATION


Sec. 2-150.51. - The WilmingtonCares Corporation; authorized; purpose.

There is hereby authorized a nonprofit entity to be known as WilmingtonCares Corporation (hereinafter "WilmingtonCares") for the purposes of assisting the city in its efforts to coordinate volunteer activities in the city, particularly insofar as such activities involve city governmental entities.

Sec. 2-150.52. - Incorporation and corporate charter.

(a)

To the ends specified in Section 2-150.51, the city solicitor is hereby authorized to incorporate a nonprofit corporation. The corporation is to be incorporated with all corporate powers permitted by the state.

(b)

The WilmingtonCares corporate charter shall include provisions such that the board of directors of the corporation shall consist of 15 members, five members being appointed by the mayor, two members of the city council being appointed by the city council president and eight members to serve ex officio: the administrative assistant to the mayor, the city treasurer, the commissioner of public works, the manager of the mayor's office of constituent services, and the directors of real estate and housing, parks and recreation, youth and families, and public safety, all to serve at the pleasure of the appointing authority. One of the members appointed by the mayor shall be designated by the mayor to serve as president of the board, at the pleasure of the mayor.

(c)

The corporation shall be formed for the purpose of mobilizing people to address the critical social, education and environmental needs of the city through volunteer action.

(d)

The members of the corporation shall be appointed as aforesaid. The officers of the corporation shall be a president, vice president, secretary, and treasurer. A majority of the members of the board shall constitute a quorum for decision-making. The city treasurer shall serve as the corporation's treasurer. The manager of the mayor's office of constituent services shall serve as the corporation's secretary.

(e)

In the event of dissolution or insolvency of the corporation, the assets of said corporation shall be transferred to the city.

(f)

The city solicitor, in incorporating the corporation, shall be authorized to take all necessary actions commensurate therewith. The city solicitor, or authorized designee, shall provide legal advice to the corporation.

Sec. 2-150.53. - Annual report.

The WilmingtonCares Corporation shall file a written report of its activities to the mayor, the council president and all members of council, the city treasurer, the corporate secretary, and the city solicitor not less than annually. Said written report shall include an audit report performed by a certified public accountant.
