DIVISION 5. - THE WILMINGTONIANS, INC.


Sec. 2-111. - Authorized; purpose.

There is hereby authorized a nonprofit entity to be known as "The Wilmingtonians, Inc." for the purposes of assisting the city in public policy analysis and the formulation and implementation of responsible action plans to address key issues identified annually by the mayor.

Sec. 2-112. - Incorporation and corporate charter.

(a)

To the end specified in section 2-111, the city solicitor is hereby authorized to incorporate a nonprofit membership corporation. The corporation is to be incorporated with all corporate powers permitted by the state.

(b)

The corporate charter shall provide that the board of directors of the corporation shall consist of not less than 24 members, six members each from the following sectors in the Wilmington community: business, labor and education, religious organizations, and government, and one member from each residential/neighborhood analysis area as established by the department of planning. The corporation shall be formed for the purpose of development of public-private coordination of public policy analysis and formulation of goals and shall be an advisory forum by which the city government, through ongoing dialogue with representatives from the various sectors of the community, may establish both long- and short-term goals in all areas of public policy. Public policy areas shall include, but not be limited to, housing, economic development, education, parks and waterways, race relations, neighborhood needs, and such other areas as the corporation may deem it necessary and proper to address.

(c)

The members of the corporation shall be appointed by the mayor. The officers of the corporation shall be a president, vice president, secretary, and treasurer, and a majority of the members of the board shall constitute a quorum for decision making.

In the event of dissolution of the corporation, the assets of said corporation shall be transferred to the city.

(e)

The city solicitor, in incorporating the corporation, shall be authorized to take all necessary actions commensurate therewith.

Sec. 2-113. - Annual report.

The Wilmingtonians, Inc. shall file a written report of its activities to the mayor, the council president and all members of council not less than annually.
